01 Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and Trading News Terminal ("Company", "we", "us", "our") governing your access to and use of the Trading News Terminal platform, available at app.tradingnewsterminal.com and associated services (collectively, the "Service").

By registering for an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Minimum Age. You must be at least 18 years of age to use the Service. By using the Service, you represent that you are at least 18 years old.

02 Description of the Service

Trading News Terminal is a financial news aggregation and market information platform that provides users with access to:

• Aggregated financial news from hundreds of third-party sources
• Live and delayed economic calendars and data releases
• Market data, price quotes, and charting tools
• Market screener tools covering multiple asset classes
• Live audio squawk and broadcast financial television channels
• Macro and bonds data, earnings calendars, and central bank tracking (Pro plan)
• Market sentiment and analytical tools (Pro plan)

The Service is provided as a software-as-a-service (SaaS) platform accessible via web browser. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice, subject to the terms set out in Section 13.

03 User Accounts

Registration

To access the Service, you must register for an account by providing accurate, current, and complete information including your name, email address, and country of residence. You agree to keep this information up to date.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Choose a strong, unique password for your account
• Not share your login credentials with any third party
• Not allow others to access the Service using your account
• Notify us immediately at [email protected] if you suspect unauthorised access to your account

We shall not be liable for any loss or damage arising from unauthorised access to your account resulting from your failure to comply with these security obligations.

One Account Per User

Each subscription is for a single named user. You may not share your account or use the Service on behalf of multiple individuals simultaneously. Commercial redistribution of the Service or its content to third parties is strictly prohibited without prior written authorisation from us.

04 Subscriptions & Billing

Available Plans

Payment Processing

All payments are processed securely by Stripe, Inc. We do not store your payment card details. By subscribing to the Pro plan, you authorise us to charge your chosen payment method on a recurring monthly basis on the date of your initial subscription.

Auto-Renewal

Pro subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will receive a payment confirmation email for each successful billing cycle.

Failed Payments

If a payment fails, we will attempt to retry the charge. If the payment remains unsuccessful after retry attempts, your account may be downgraded to the Basic plan until payment is resolved. We will notify you by email of any payment failure.

Cancellation

You may cancel your Pro subscription at any time from within your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the period ends.

Refund Policy

All subscription fees are non-refundable except where required by applicable law. We do not provide prorated refunds for unused portions of a billing period. If you cancel mid-period, you will continue to have access to the Pro plan until the end of that period.

Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' advance notice of any price increase via email. If you do not cancel before the change takes effect, your continued use constitutes acceptance of the new price.

Free Trial

The Pro plan offers a 7-day free trial period. A valid credit card is required to start the trial. During the trial, you have full access to all Pro features.

After the 7-day trial period ends, your subscription automatically converts to a paid monthly subscription at €40/month plus applicable taxes (VAT/IVA). You can cancel at any time during the trial period through your account settings or the Stripe billing portal.

If you cancel during the trial, you will not be charged and your Pro access will remain active until the trial period ends.

Each account is limited to one free trial. We reserve the right to modify or discontinue the free trial offer at any time without prior notice.

05 Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any unlawful, fraudulent, or malicious purpose
• Reproduce, redistribute, resell, or provide access to the Service to any third party without our prior written consent
• Scrape, crawl, or systematically extract data from the Service using automated tools, bots, or scripts
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• Attempt to gain unauthorised access to any part of the Service, its servers, or connected systems
• Transmit any malware, viruses, or other harmful code through the Service
• Interfere with or disrupt the integrity, performance, or availability of the Service
• Use the Service to send unsolicited communications or spam
• Create multiple accounts to circumvent any feature restrictions or access controls
• Misrepresent your identity or affiliation when using the Service
• Use the Service in any manner that could damage our reputation or the reputation of any third party

We reserve the right to investigate potential violations of this policy and to take appropriate action, including suspension or termination of your account, reporting to law enforcement authorities, or pursuing civil or criminal remedies.

06 Intellectual Property

Our Property

The Service, including all software, code, design, graphics, user interfaces, trademarks, logos, and the Trading News Terminal brand, is the exclusive property of the Company or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of or any licence to our intellectual property beyond the limited right to use the Service as described herein.

Third-Party Content

News articles, market data, and other content displayed on the Service may originate from third-party providers and publishers. Such content is the property of the respective owners. We aggregate and display this content in accordance with applicable licences and agreements. You may not reproduce, republish, or redistribute third-party content obtained through the Service.

Limited Licence to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes. This licence does not include any right to: (a) sub-license the Service; (b) make the Service available to others; or (c) use any data mining, scraping, or similar extraction methods.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use such feedback for any purpose, including improving the Service, without any obligation of compensation or attribution to you.

07 Financial Information Disclaimer

You expressly acknowledge and agree that:

• Not a regulated adviser. Trading News Terminal is not a registered investment adviser, broker-dealer, financial planner, or any other regulated financial entity under the laws of Portugal, the European Union, or any other jurisdiction.
• No investment recommendations. Information provided on the Service should not be construed as a recommendation to buy, sell, or hold any financial instrument, security, currency, commodity, or other asset.
• Past performance. Any historical data, performance figures, or market trends displayed on the Service do not guarantee future results. Past performance is not indicative of future performance.
• Data accuracy. Market data, prices, news, and economic indicators are sourced from third-party providers. While we strive to ensure accuracy, we make no representation or warranty as to the completeness, accuracy, timeliness, or reliability of such information. Data may be delayed, inaccurate, or incomplete.
• Your responsibility. All investment and trading decisions are solely your responsibility. You should conduct your own research and, where appropriate, consult with a qualified financial adviser before making any investment decisions.
• Investment risk. Trading financial instruments carries significant risk, including the risk of total loss of capital. You acknowledge that you understand these risks.

08 Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components
• Any warranty regarding the accuracy, completeness, timeliness, or reliability of any content or data
• Any warranty that defects will be corrected

We do not warrant that the Service will meet your requirements or that your use of the Service will produce any particular outcome or result.

09 Limitation of Liability

To the fullest extent permitted by applicable law, the Company and its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your reliance on information obtained through the Service
• Damages arising from any investment or trading decisions made based on content available on the Service
• Damages arising from service interruptions, downtime, or data loss
• Damages arising from unauthorised access to or alteration of your account or data
• Damages arising from any third-party content, data, or services accessible through the Service

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or €40, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. If you reside in such a jurisdiction, some of the above limitations may not apply to you.

10 Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party rights
• Any investment or trading decisions you make based on information from the Service
• Any content or data you submit or transmit through the Service

11 Termination

Termination by You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service will immediately cease. No refunds will be issued for any prepaid fees except as required by law.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if we determine that:

• You have violated these Terms or our Acceptable Use Policy
• Your use of the Service poses a risk to us, other users, or third parties
• We are required to do so by law or regulatory authority
• You have provided false or misleading information during registration

In the event of termination for cause, any outstanding amounts remain due and payable, and no refunds will be issued.

Effect of Termination

Upon termination of your account: (a) all licences granted under these Terms will immediately terminate; (b) you must cease all use of the Service; (c) provisions that by their nature should survive termination will continue to apply, including Sections 6, 7, 8, 9, 10, and 12.

12 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the competent courts of Lisbon, Portugal, unless mandatory consumer protection laws in your country of residence require otherwise.

EU Online Dispute Resolution. If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13 Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by:

• Sending an email to the address associated with your account
• Displaying a prominent notice within the Service
• Updating the "Last Updated" date at the top of this page

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must cease using the Service and may cancel your subscription before the changes take effect.
